End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you, either an individual or the entity you represent, and Panopt Security for software, scripts, templates, portal features, documentation, downloadable materials, configuration examples, automation, reports, or related tools made available by Panopt Security (collectively, the "Software"). By installing, copying, accessing, downloading, or using the Software, you agree to this Agreement. If you do not agree, do not install, access, copy, or use the Software.
1. License Grant
Subject to this Agreement and any applicable written order, statement of work, or customer agreement, Panopt Security grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Software for internal lawful business purposes and only in the environment, scope, term, and manner authorized by Panopt Security.
2. Ownership
The Software is licensed, not sold. Panopt Security and its licensors retain all right, title, and interest in and to the Software, including copyrights, trade secrets, trademarks, methodologies, know-how, designs, workflows, source code, object code, documentation, templates, and derivative works. All rights not expressly granted are reserved.
3. Restrictions
You may not copy, sell, resell, rent, lease, lend, sublicense, distribute, publish, host, disclose, transfer, assign, timeshare, or commercially exploit the Software except as expressly authorized. You may not modify, translate, adapt, create derivative works, remove proprietary notices, bypass access controls, disable security controls, use the Software for unlawful purposes, or use the Software to attack, disrupt, scan, exploit, or gain unauthorized access to any system.
4. Reverse Engineering
You may not reverse engineer, decompile, disassemble, decode, decrypt, extract source code from, or attempt to discover the underlying structure, ideas, algorithms, or trade secrets of the Software except to the extent such restriction is prohibited by applicable law. Any legally permitted reverse engineering must be limited to the minimum required purpose and may not be used to create competing products or services.
5. Authorized Users and Environments
You are responsible for all use of the Software by your employees, contractors, agents, administrators, service providers, and any other person or system receiving access through you. You must ensure that authorized users comply with this Agreement and that the Software is used only in approved environments and for approved purposes.
6. Customer Data and Credentials
You are responsible for backing up data, protecting credentials, reviewing scripts before execution, validating configuration changes, and ensuring that use of the Software complies with your internal policies, customer obligations, and applicable law. Do not embed production secrets, passwords, private keys, tokens, or regulated data in Software unless an approved and secure method is used.
7. Updates and Support
Panopt Security may provide updates, patches, enhancements, replacements, documentation, or support at its discretion or as required by a separate written agreement. Updates may change, remove, or add functionality. This Agreement applies to all updates unless a separate license accompanies the update.
8. Open Source and Third-Party Components
The Software may reference, depend on, or be distributed with open source or third-party components. Those components may be governed by their own license terms. Nothing in this Agreement limits rights you may have under applicable open source licenses.
9. Confidentiality
The Software may include non-public methods, logic, documentation, configuration examples, reports, workflows, and security practices of Panopt Security. You must protect confidential Software and related materials from unauthorized disclosure and use at least reasonable care to prevent misuse or disclosure.
10. Term and Termination
This Agreement remains in effect until terminated. Panopt Security may terminate this Agreement immediately if you violate its terms, exceed authorized use, fail to pay amounts owed under a related agreement, misuse the Software, or create security, legal, or operational risk. Upon termination, you must stop using the Software and destroy or return copies unless retention is required by law or a written agreement.
11. Warranty Disclaimer
The Software is provided "as is" and "as available" unless a separate written agreement states otherwise. Panopt Security disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, compatibility, and absolute security. You are responsible for testing and validating the Software before production use.
12. Limitation of Liability
To the maximum extent permitted by law, Panopt Security will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost data, business interruption, system downtime, security incidents, recovery costs, or loss of goodwill arising from or related to the Software. Unless a separate written agreement states otherwise, Panopt Security's total liability for the Software will not exceed the amount paid for the Software during the three months before the event giving rise to the claim, or one hundred dollars if no amount was paid.
13. Export, Sanctions, and Legal Compliance
You must comply with applicable export control, sanctions, cybersecurity, privacy, data protection, and other laws. You may not use, download, export, or re-export the Software in violation of applicable law or for prohibited end uses.
14. Government and Regulated Use
If the Software is used for government, healthcare, financial, defense, critical infrastructure, or other regulated environments, you are responsible for ensuring that use satisfies applicable procurement, security, privacy, retention, accessibility, and compliance requirements unless a separate written agreement assigns those responsibilities to Panopt Security.
15. Governing Law
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict of law rules, unless a separate written agreement states otherwise. Courts located in Tennessee will have exclusive jurisdiction and venue for disputes arising from this Agreement, unless applicable law requires otherwise.
16. Entire Agreement
This Agreement, together with any applicable written order, statement of work, or signed agreement, is the complete agreement for the Software and supersedes prior discussions about the Software. If a signed agreement conflicts with this Agreement, the signed agreement controls for the conflicting subject matter.
